Item 1.01. Entry into a Material Definitive Agreement
On August 14, 2008, Genpact Limited (Genpact) and its subsidiary, Genpact Luxembourg S.A.R.L. (together with Genpact, the Buyers), entered into a share purchase agreement (the Purchase Agreement) with General Electric Capital Corporation (GE Capital) and GE Consumer Finance, Inc. (GE Finance and, together with GE Capital, the Sellers). The Sellers are affiliates of the General Electric Company, which is Genpacts largest client and a significant shareholder. Pursuant to the Purchase Agreement, the Buyers will purchase all of the issued and outstanding shares of GE Money Administraciones-Guatemala, S.A., a Guatemalan entity (the Administrator), and Servicios Internacionales de Atencion al Cliente, S.A., a Guatemalan entity (the Genpact User and, together with the Administrator, the Acquired Companies), owned by the Sellers for a purchase price of approximately $7.02 million, subject to post-closing adjustment. The Administrator operates a business process delivery center in a tax free zone in Guatemala City, Guatemala for Genpact User and other entities. Following the acquisition, the Buyers will own all the shares of the Acquired Companies.
The foregoing summary is qualified in its entirety by the full text of the Purchase Agreement, which Genpact expects to file as an exhibit to its quarterly report on Form 10-Q for the period ending September 30, 2008. On August 18, 2008, Genpact issued a press release describing the acquisition of the Acquired Companies, a copy of which is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated by reference.

Genpact Announces Acquisition of Delivery
Center in Guatemala from GE
New York, NY (August 18, 2008) Genpact Limited (NYSE: G), a leader in the globalization of services and technology and a pioneer in managing business processes for companies around the world, today announced that it acquired a delivery center in Guatemala City from GE Money, a division of the General Electric Company on August 15, 2008.
The newly-acquired facility is Genpacts first in Guatemala and will extend Genpacts Latin American presence beyond Mexico and enhance its ability to provide business process services in English as well as in Spanish. Genpact will provide services to GE Money from the facility. With Guatemala President Alvaro Colon in attendance, the facility was officially opened in July by GE Money and BAC/Credomatic. GE Moneys Retail Consumer Finance division, along with BAC will both continue operations for their customers from a portion of the facility.
We are excited about our newly expanded presence in the region, said Juan F. Ferrara, Genpacts Business Leader for the Americas. Our new facility enables us now to offer services to our global clients from both Guatemala and Mexico. This will strengthen our ability to offer best-in-class shared services to global clients that have operations in the region and are interested in consolidating their Latin America operations.
Genpacts new delivery center will initially accommodate more than 700 professionals and has the capacity to grow to approximately 2,000. The facilitys close proximity to the regions largest public university is a major advantage in terms of attracting key talent.
